FRE® Giveaway – Official Terms & Conditions

The FRE® Giveaway (“Promotion”) is sponsored by National Tobacco Company, L.P. (“Sponsor” or “Company”).

Eligibility

The Promotion is open only to individuals who:

Are 21 years of age or older at the time of entry
Are legal residents of the 50 United States and the District of Columbia

All federal, state, municipal and local laws and regulations apply to the Promotion. Void where prohibited. Employees, contractors, officers, directors, agents, and representatives of the Sponsor and Zuffa, LLC, and their respective affiliates, and those living in the same household of each, are not eligible to participate.

Promotion Period

Entries must be received, and will be accepted, during the period specified in the FRE® Promotion post (“Promotion Period”). Sponsor’s clock is the official timekeeping device.

Limit entries as described above. Entries that do not comply with these Terms & Conditions may be disqualified.

Winner selection and notification

There will be 1 “Winner” in this Promotion. The Winner of the Promotion will be selected in a random drawing (“Drawing”) within 30 days after the end of the Promotion Period. The Drawing will be conducted by Sponsor or its representatives, whose decisions are final and binding in all matters relating to this Promotion. The Winner will be notified via email to the email address submitted with his/her Entry within 10 days following the Winner selection. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate winner may result from any of the following: (1) the Winner’s failure to timely respond to the notification; (2) the return of the email notification as undeliverable for any reason; (3) the Winner’s failure to validly and timely claim the prize; or (4) any other non-compliance with these Terms & Conditions. In the event of a prize forfeiture, the Sponsor may, in its sole discretion, award or not award the forfeited prize to an alternate winner.

The Winner must (and must ensure that the guests they invite) pass background checks or other requirements at any time required or recommended by UFC.

The Prize is non-transferable, non-exchangeable, and non-refundable, has no cash value, and may not be substituted or redeemed for cash. All products received through this Promotion are for personal use only. Resale is strictly prohibited. The retail value of the Prize is approximately $200. Upon receipt of notification as the Winner from Sponsor, the Winner must provide Sponsor with the following information for the Winners to participate in the Prize: Customization of Prize if any (size, etc.), and, (c) shipping information (collectively, “Prize Information”). All federal, state, and local taxes, and all other costs associated with acceptance or use of the Prize are the sole responsibility of the Winner.

UFC Gift Card is only valid for purchases at UFCStore.com. Except where required by law, Gift Card cannot be redeemed for cash, or cash equivalent. Gift Card cannot be returned, reproduced, modified, sold, traded, refunded, or replaced if lost or stolen. Gift Card is not valid for purchases of other Gift Cards or on previous purchases or returns. All Gift Card purchases are subject to the UFCStore.com terms of use and any other terms and conditions applicable to Gift Cards, which may change at any time. Void where prohibited. Age Verification Requirement

Prior to awarding or shipping any prize, the selected winner must complete age verification, as 21 years of age or older at the time of entry, to confirm eligibility. Failure to provide valid proof of legal age, with the age verification, will result in disqualification and forfeiture of the prize.

Consent to Use of Image and Content

By submitting an Entry, including any UGC, you grant FRE®, National Tobacco Company, L.P., and their respective affiliates, licensees, and agents a perpetual, worldwide, royalty-free, irrevocable license to use your name, image, likeness, voice, social media handle, and submitted content for marketing, advertising, promotional, publicity, and commercial purposes in any media now known or later developed, without further compensation, notice, or approval.

Except where prohibited, by accepting the Prize, the Winner grants permission for Sponsor and its agents to use his/her name, voice and/or likeness, for advertising, merchandising, promotion and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without additional compensation.

Release of Liability

By participating in the Promotion, you agree to release and hold harmless National Tobacco Company, L.P., its parent company, affiliates, officers, employees, agents, and promotional partners (collectively, the “Company”) from any and all claims, damages, liabilities, costs, or expenses arising out of or related to your participation in the Promotion or use of the prize.

By participating in the Promotion, you agree to release and hold harmless Zuffa LLC, its parent company, affiliates, officers, employees, agents, and promotional partners (collectively, the “Company”) from any and all claims, damages, liabilities, costs, or expenses arising out of or related to your participation in the Promotion or use of the prize.

Entries are void if inaccurate, incomplete, tampered with, misdirected, late, irregular in any way, or otherwise not in compliance with these Terms & Conditions. Although Sponsor attempts to ensure the integrity of the Promotion, neither Sponsor nor its affiliates are responsible for the actions of entrants or other individuals in connection with the Promotion, including attempts by entrants or other individuals to circumvent these Terms & Conditions or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Promotion. If, for any reason, the Promotion is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of the Promotion, Sponsor reserves the right in its sole and absolute discretion to modify these Terms & Conditions, and/or to cancel, terminate, modify or suspend all or any part of the Promotion, and in the event of cancellation or termination, to select Winners from among all eligible non-suspect Entries received up to the time of such cancellation, termination, modification, or suspension, as applicable. If the Promotion is terminated by Sponsor as set forth above, Sponsor will post notice of such termination at company Promotion site. Inclusion in such drawing will be each entrant’s sole and exclusive remedy under such circumstances. Proof of submitting an Entry will not be deemed receipt of such Entry by Sponsor.

Sponsor reserves the right, at any time and in its sole discretion, to disqualify or deem ineligible to participate in this Promotion, any individual suspected of tampering with the entry process or the operation of the Promotion; acting in violation of these Terms & Conditions or Sponsor’s terms of service, privacy policy or other terms, conditions or guidelines; acting in bad faith or in a disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or violating these Terms & Conditions. Any attempt by an entrant or any other individual to deliberately damage or undermine the legitimate operation of the Promotion is a violation of these Terms & Conditions, as well as criminal and civil laws. Should Sponsor believe or become aware that such an attempt has been, is being, or will be made, Sponsor reserves the right to seek remedies and damages from any responsible entrant(s) and other responsible individual(s) in the attempted damage to the fullest extent permitted by law, including without limitation, criminal prosecution.

Additional Terms

Participation is subject to verification and compliance with all terms outlined herein.
The Promotion is void where prohibited.
Participation does not create any association, partnership, joint venture, employment, or agency relationship between Participant and the Company.
Participants have no authority to bind the Company or make representations on its behalf without prior written consent.

Arbitration & Governing Law

Any controversy or claim arising out of or relating to this Promotion shall be resolved confidentially by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Judgment on the arbitration award may be entered in any court having jurisdiction.

This Promotion shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.
